TERMS OF USE
Vital Insights™ Family Accounts
Unity Global Care, Inc. | Vital Insights™ | Powered by ALBERTai®
Effective Date: September 23, 2026| Last Revised: September 25, 2026
IMPORTANT — PLEASE READ CAREFULLY. THESE TERMS CONTAIN:
If you are experiencing a medical emergency, call 911 immediately. Vital Insights is not an emergency service.
1. Acceptance of These Terms
1.1 These Terms of Use (the “Terms”) are a binding legal agreement between you and Unity Global Care®, Inc., a Delaware corporation doing business as ALBERTai® (“Unity Global Care,” “Company,” “we,” “us,” or “our”). They govern your creation and use of a Family Account on the Vital Insights platform.
1.2 You accept these Terms by checking the acceptance box, creating a Family Account, or accessing or using the Services, whichever happens first. If you do not agree to every provision of these Terms, do not create a Family Account or use the Services.
1.3 These Terms supplement the Unity Global Care Terms of Use and Privacy Policy posted at www.unityglobalcare.com and www.goalbertai.com, which are incorporated by reference. If these Terms conflict with the Unity Global Care Terms of Use on any matter concerning Vital Insights, these Terms control.
2. Definitions
“Agency” means any home care, home health, companion care, personal care, hospice, staffing, registry, or other care services organization that uses Vital Insights, together with its affiliates.
“Caregiver” means any individual who provides services to a Care Recipient as an employee, contractor, or referral of an Agency, whether or not that individual still works for that Agency.
“Care Recipient” means the individual receiving care whose visits, information, or wellness data are recorded in or shared through the Services.
“Care Circle” means the family members and other individuals you invite to view information about a Care Recipient through your Family Account.
“Caregiver Communications” means any content that originates with a Caregiver and is delivered through the Services, including voice notes, visit notes, messages, ratings, photos, and any summary, score, flag, alert, escalation, trend, or report that ALBERTai or the Services generate from that content.
“Covered Parties” means Unity Global Care and its parents, subsidiaries, and affiliates, and each of their current and former directors, officers, employees, shareholders, investors, members, partners, joint venturers, licensors, suppliers, service providers, contractors, agents, successors, and assigns (together, the “Unity Parties”), and, to the fullest extent permitted by law, each Agency and Caregiver.
“Family Account” means an account created on Vital Insights to receive information about a Care Recipient. “Account Holder,” “you,” and “your” refer to the individual who creates and controls the Family Account.
“Services” means the Vital Insights platform, the Vital Insights Family App, FamilyVitalInsights.com, ALBERTai, Grace AI wellness conversations, the Find a Caregiver feature, and all related websites, applications, tools, scores, reports, alerts, and communications.
3. Eligibility and Authority
3.1 You must be at least 18 years old, or the age of majority in your state if greater, to create a Family Account.
3.2 You represent and warrant that you are the Care Recipient, or that you have the Care Recipient's consent or the legal authority (such as a health care proxy, power of attorney, or guardianship) to receive information about the Care Recipient, to invite a Care Circle, and to accept these Terms on the Care Recipient's behalf to the extent the law allows.
3.3 You are responsible for ensuring that every member of your Care Circle, your household, and the Care Recipient's household complies with Sections 6, 7, and 8. A breach by any of them is a breach by you.
4. About Vital Insights
4.1 Vital Insights is a communication and information platform. Caregivers record visit notes, and ALBERTai converts them into summaries, dimension scores, trends, alerts, and reports that are shared with Agencies and Family Accounts.
4.2 Unity Global Care is not a home care agency, home health agency, health care provider, nurse registry, employer of Caregivers, or employment agency. We do not hire, employ, train, supervise, schedule, direct, or control Caregivers, and we do not provide care to any Care Recipient. Each Agency is solely responsible for its Caregivers and for the care they provide.
4.3 Unity Global Care does not screen, license, certify, or verify the qualifications of any Caregiver, and makes no representation about any Caregiver's background, training, competence, or conduct, unless we state otherwise in writing for a specific service.
4.4 Find a Caregiver. The Find a Caregiver feature connects families only with Agencies. Any Caregiver you identify or are introduced to through Find a Caregiver may be engaged only through an Agency, and Section 8 applies to that Caregiver.
5. Not Medical Advice; Not for Emergencies
5.1 VITAL INSIGHTS IS NOT AN EMERGENCY SERVICE, A MEDICAL ALERT SYSTEM, OR A SUBSTITUTE FOR SUPERVISION OF THE CARE RECIPIENT. If you believe the Care Recipient may be in danger or experiencing a medical emergency, call 911 immediately. Do not wait for, or rely on, any message, alert, or escalation from the Services.
5.2 The Services provide general wellness information. They do not provide medical advice, diagnosis, or treatment, and they do not create a physician-patient, clinician-patient, or other treatment relationship. Always consult a physician or other qualified health professional about the Care Recipient's health.
5.3 AI-generated content. Summaries, scores (including the Emotional Wellness score and dimension scores), trends, baselines, flags, alerts, escalations, Grace AI conversations, and reports are produced by automated systems. They may be incomplete, delayed, inaccurate, or wrong, and they may fail to detect or flag a concern. They are not clinical assessments.
5.4 We do not guarantee that any Caregiver will record a visit note, that any note will be complete or truthful, or that any alert or escalation will be generated, delivered, read, or acted on by you, an Agency, or anyone else, or within any time frame. Delivery depends on devices, networks, and third parties outside our control.
5.5 You remain solely responsible for decisions about the Care Recipient's care, safety, and well-being.
6. Caregiver Communications Are the Caregiver's Personal Opinion
6.1 You acknowledge and agree that all Caregiver Communications are the personal observations and opinions of the individual Caregiver only. Caregiver Communications are not endorsed, approved, reviewed, verified, adopted, or agreed to by the Agency or other organization the Caregiver works for, or by any Unity Party, and they do not represent the position of any of them. This applies even when an Agency receives a copy, escalation, or report of a Caregiver Communication.
6.2 You acknowledge that a Caregiver may not be qualified to make any statement about the health, wellness, safety, or well-being of the Care Recipient. A Caregiver may not be a licensed nurse, physician, therapist, or other health professional, and may lack the training to assess medical conditions, medications, cognition, mood, nutrition, mobility, fall risk, or safety.
6.3 You agree that you will not rely on any Caregiver Communication, or on any summary, score, flag, or report derived from one, as a medical opinion or as the basis for any medical, safety, legal, or financial decision, without independent confirmation from a qualified professional.
6.4 The absence of a Caregiver Communication, alert, or flag does not mean the Care Recipient is well or safe.
6.5 No Unity Party is responsible for the accuracy, completeness, timeliness, tone, or content of any Caregiver Communication, or for any act or omission of a Caregiver or Agency. You waive any claim against the Covered Parties arising from your reliance on a Caregiver Communication, to the fullest extent permitted by law.
6.6 Ratings, appreciation messages, and other content you send to a Caregiver through the Services must be truthful, respectful, and lawful, and you are responsible for them.
7. Communicate With Caregivers Only Through Vital Insights
7.1 You agree that you will communicate with each Caregiver only through the Vital Insights platform. You will not communicate with any Caregiver, or attempt to, by telephone, text message, email, messaging app, social media, video call, mail, or any other means outside the Services.
7.2 Without limiting Section 7.1, you will not: (a) request, offer, accept, or exchange any personal phone number, email address, social media handle, home address, or other contact information with a Caregiver; (b) arrange to meet a Caregiver outside the Caregiver's scheduled, Agency-assigned visits; or (c) use a Care Circle member, the Care Recipient, or any other person to do anything you are prohibited from doing under this Section.
7.3 Permitted exceptions. Section 7.1 does not restrict:
(a) in-person conversation with a Caregiver in the ordinary course of a scheduled, Agency-assigned visit, limited to the Care Recipient's care;
(b) any communication reasonably necessary in an emergency to protect the life, health, or safety of any person, including calling 911;
(c) communicating with the Agency through the Agency's official channels; or
(d) any communication required by law, or any report to a government agency, regulator, or law enforcement.
7.4 If a Caregiver asks you to communicate outside the Services, offers you private contact information, or proposes to work for you directly, you agree to decline and to notify us or the Agency promptly.
7.5 Breach of this Section is grounds for immediate suspension or termination of your Family Account. If you communicate with a Caregiver in breach of this Section, and a Direct Engagement (defined in Section 8) of that Caregiver occurs during the Restricted Period, the Direct Engagement will be presumed to have resulted from that breach, unless you prove otherwise by clear and convincing evidence.
8. No Direct Hiring of Caregivers; $20,000 Placement Fee
8.1 No Direct Engagement. During the Restricted Period, you will not, directly or indirectly, hire, employ, contract with, pay, or otherwise engage any Covered Caregiver to provide care, companionship, household, or personal services to the Care Recipient, to you, or to any member of your family or household, other than through the Agency or Agencies that the Covered Caregiver works for (a “Direct Engagement”).
8.2 What counts. A Direct Engagement includes engaging the Covered Caregiver: (a) privately, for cash or otherwise; (b) through a different agency, registry, staffing firm, or online marketplace; (c) through any business the Covered Caregiver owns or controls; or (d) through a family member, the Care Recipient, a trust, or any other person acting for you. It also includes soliciting or encouraging a Covered Caregiver to leave an Agency.
8.3 Definitions. A “Covered Caregiver” is any Caregiver who provided services to the Care Recipient, with whom you or your Care Circle communicated through the Services, or whom you identified or were introduced to through the Find a Caregiver feature. The “Restricted Period” runs from the date you create your Family Account until twelve (12) months after the later of (a) the Covered Caregiver's last visit to the Care Recipient recorded in the Services, or (b) the closing of your Family Account.
8.4 Placement Fee. For each Covered Caregiver involved in a Direct Engagement, you agree to pay Unity Global Care a placement fee of Twenty Thousand U.S. Dollars ($20,000) (the “Placement Fee”). The Placement Fee is due within thirty (30) days after we send you an invoice. Unpaid amounts accrue interest at the lesser of 1% per month or the highest rate permitted by law. You also agree to pay our reasonable costs of collection, including attorneys' fees.
8.5 Liquidated damages, not a penalty. You acknowledge that a Direct Engagement causes Unity Global Care harm that is real but difficult to measure precisely, including lost platform, subscription, and transaction revenue; harm to our relationships with Agency partners that pay for and rely on the Services; and the cost of recruiting, screening, and onboarding caregivers into our ecosystem. You agree that the Placement Fee is a reasonable, good-faith estimate of that harm at the time you accept these Terms and is not a penalty.
8.6 Other remedies. The Placement Fee is Unity Global Care's sole monetary remedy for the Direct Engagement itself. It does not limit our right to seek injunctive relief, to terminate your Family Account, or to recover for any other breach of these Terms. Payment of the Placement Fee does not affect any separate fee, damages, or remedy an Agency may have under its own agreement with you.
8.7 Credit for Agency fees received. Any amount Unity Global Care actually receives from an Agency, under a written fee-sharing arrangement with that Agency, on account of the same Direct Engagement will be credited against the Placement Fee, so that Unity Global Care is not paid twice for the same Direct Engagement.
8.8 Exception. Section 8 does not apply if Unity Global Care gives its express prior written consent to the engagement.
9. Your Account and Security
9.1 You agree to provide accurate, current information and to keep it updated. You are responsible for all activity under your Family Account and for keeping your credentials confidential. Notify us immediately at UnityInfo@unityglobalcare.com if you suspect unauthorized access.
9.2 Care Circle members have view-only access unless we state otherwise. You are responsible for choosing whom you invite, for their compliance with these Terms, and for removing anyone whose access should end.
10. Prohibited Conduct
You will not, and will not permit anyone to: (a) use the Services for any unlawful purpose; (b) harass, threaten, abuse, defame, discriminate against, or intimidate any Caregiver, Agency, or other user; (c) post false, misleading, or retaliatory ratings or content; (d) impersonate any person or misrepresent your authority; (e) access information about a person you are not authorized to see; (f) upload malware or interfere with the Services' security; (g) scrape, copy, or harvest data or contact information from the Services; (h) reverse engineer, decompile, or build a competing product from the Services; (i) use the Services to recruit, solicit, or divert Caregivers; or (j) resell or commercially exploit the Services.
11. Privacy and Health Information
11.1 Our collection and use of personal information is governed by the Unity Global Care Privacy Policy. By using the Services you consent to the collection, use, and sharing described there, including sharing with the Care Recipient's Agency and your Care Circle.
11.2 Where we process Protected Health Information on behalf of an Agency, we do so as the Agency's Business Associate under the applicable Business Associate Agreement. You acknowledge that information you view in the Services may be protected health information, and you agree to keep it confidential and use it only for the Care Recipient's benefit.
11.3 Notifications sent by text, email, or push notification may not be encrypted and may be visible to anyone with access to your device.
12. Fees and Subscriptions
Some features may require payment. Prices, renewal terms, and the cancellation method will be disclosed before you purchase. Unless stated at the point of sale or required by law, fees are non-refundable. We may change prices or features on notice as required by law.
13. Intellectual Property and Feedback
13.1 The Services, including all software, AI models, scoring methods, content, designs, and trademarks (including Unity Global Care®, ALBERTai®, and Vital Insights™), are owned by Unity Global Care or its licensors and protected by law, including pending patent rights. We grant you a limited, revocable, non-exclusive, non-transferable license to use the Services for personal, non-commercial purposes in accordance with these Terms.
13.2 Any feedback or suggestions you provide may be used by us without restriction or compensation.
14. Your Content
You are responsible for any content you submit, including messages, ratings, and photos. You grant us a worldwide, royalty-free license to host, process, display, and use your content to operate, secure, and improve the Services, including in de-identified or aggregated form. We may remove content at our discretion and have no duty to monitor it.
15. Agencies and Third Parties
Agencies and other third parties are independent of Unity Global Care. Your relationship with an Agency, including care plans, scheduling, payment, and complaints about care, is solely between you and that Agency. We are not responsible for the acts, omissions, or services of any Agency, Caregiver, or third party.
16. Suspension and Termination
We may suspend or terminate your Family Account at any time, with or without notice, including for any breach of Sections 6 through 10. You may close your Family Account at any time. Sections 4 through 8, 10, 11, 13, 14, and 17 through 26 survive termination. Closing your account does not end the Restricted Period in Section 8.
17. Disclaimer of Warranties
THE SERVICES AND ALL CAREGIVER COMMUNICATIONS ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE, OR THAT ANY ALERT, FLAG, OR ESCALATION WILL BE GENERATED OR DELIVERED.
18. Assumption of Risk
You understand that care of an aging, ill, or vulnerable person carries inherent risks, including illness, injury, falls, medication errors, neglect, abuse, and death, and that the Services cannot prevent or detect all of them. You knowingly and voluntarily assume all risks arising from your use of the Services and your reliance on any Caregiver Communication.
19. Release
19.1 TO THE FULLEST EXTENT PERMITTED BY LAW, you, for yourself and, to the extent you are legally authorized, for the Care Recipient and for your and the Care Recipient's heirs, executors, administrators, estates, personal representatives, and assigns, RELEASE AND FOREVER DISCHARGE each Covered Party from any and all claims, demands, liabilities, and causes of action arising out of or relating to any illness, injury, disability, death, abuse, neglect, or property loss or damage suffered by the Care Recipient, including claims arising from the Services, any Caregiver Communication, any alert or failure to alert, or any care provided or not provided, INCLUDING CLAIMS BASED ON THE ORDINARY NEGLIGENCE OF ANY COVERED PARTY.
19.2 Separate releases. The release of the Unity Parties and the release of each Agency and each Caregiver are separate and independent. If the release is found unenforceable as to any Agency or Caregiver, it remains fully enforceable as to the Unity Parties.
19.3 This release does not apply to any claim that applicable law does not permit to be released, such as, in some jurisdictions, claims for gross negligence, willful misconduct, or fraud.
20. Covenant Not to Sue
To the fullest extent permitted by law, you agree that you will not bring, file, fund, assist, or participate in any lawsuit, arbitration, or other proceeding against any Covered Party on any claim released in Section 19, and will not encourage anyone else to do so, except as required by law or subpoena. If you breach this Section, you will pay the Covered Party's reasonable attorneys' fees and costs of defense.
21. Indemnification
You agree to indemnify, defend, and hold harmless each Covered Party from and against every claim, demand, suit, loss, liability, judgment, settlement, penalty, cost, and expense, including reasonable attorneys' and expert fees, arising out of or relating to:
(a) any illness, injury, death, or loss of the Care Recipient, including any claim brought by the Care Recipient, the Care Recipient's estate, heirs, family members, or personal representatives, to the extent permitted by law;
(b) your breach of these Terms, including Sections 7 and 8;
(c) your or your Care Circle's use or misuse of the Services or of any Caregiver Communication;
(d) any misrepresentation of your authority to act for the Care Recipient; and
(e) any content you submit or your violation of any law or third-party right.
We may assume exclusive control of the defense of any matter, and you will cooperate. You may not settle any matter without our written consent.
22. Limitation of Liability
22.1 TO THE FULLEST EXTENT PERMITTED BY LAW, NO COVERED PARTY WILL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY PERSONAL INJURY, WRONGFUL DEATH, EMOTIONAL DISTRESS, LOST PROFITS, OR LOSS OF DATA, ARISING OUT OF OR RELATING TO THE SERVICES OR ANY CAREGIVER COMMUNICATION, UNDER ANY THEORY OF LIABILITY, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
22.2 THE UNITY PARTIES' TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS WILL NOT EXCEED THE GREATER OF THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM OR ONE HUNDRED DOLLARS ($100).
22.3 Some jurisdictions do not allow certain exclusions or limitations, so some of them may not apply to you. They apply to the maximum extent permitted. See also Section 24.7.
23. Dispute Resolution, Arbitration, and Delaware Venue
PLEASE READ THIS SECTION CAREFULLY. IT REQUIRES INDIVIDUAL ARBITRATION IN DELAWARE, REQUIRES YOU TO PAY 50% OF ARBITRATION COSTS, AND WAIVES YOUR RIGHT TO A JURY TRIAL AND TO BRING OR JOIN A CLASS ACTION.
23.1 Governing law. These Terms and any dispute relating to them or the Services are governed by the laws of the State of Delaware, without regard to conflict-of-laws principles. The Federal Arbitration Act governs this Section 23.
23.2 Informal resolution. Before starting arbitration, you must send a written notice describing your claim to UnityInfo@unityglobalcare.com and to the address in Section 26, and allow sixty (60) days for good-faith resolution.
23.3 Binding arbitration. Any dispute, claim, or controversy between you and any Covered Party arising out of or relating to these Terms, the Services, any Caregiver Communication, or the care of the Care Recipient, including any question about the scope or enforceability of this Section, will be resolved by final and binding arbitration before a single arbitrator administered by the American Arbitration Association (“AAA”) under its applicable rules. Each Covered Party that is not a Unity Party may elect to enforce this Section as a third-party beneficiary.
23.4 Delaware seat. All arbitration proceedings will be seated in Wilmington, Delaware. The arbitrator may permit hearings by video or on written submissions.
23.5 Cost sharing. You and the other party to the arbitration will each pay fifty percent (50%) of all costs of the arbitration, including filing, administrative, hearing, and arbitrator fees. Each party pays its own attorneys' fees, except that the prevailing party in any action to enforce Sections 7, 8, 20, or 21 recovers its reasonable attorneys' fees and costs. If the administrator's rules or applicable law cap the amount you may be required to pay, or require us to pay a greater share, you will pay the maximum amount permitted and the other party will pay the rest, and the remainder of this Section will be enforced.
23.6 Court proceedings in Delaware. Any proceeding that is not arbitrated, including any action to compel arbitration or confirm or vacate an award, will be brought exclusively in the state or federal courts located in New Castle County, Delaware, and you irrevocably consent to their personal jurisdiction and venue and waive any objection based on inconvenient forum. To the extent permitted by law, you will bear 50% of any shared court costs, such as mediator or special master fees.
23.7 Exceptions. Unity Global Care may seek injunctive or equitable relief, or collect the Placement Fee, in the courts described in Section 23.6 to enforce Sections 7, 8, 10, or 13. Either party may bring an individual claim in small claims court in Delaware.
23.8 Class and jury waiver. Claims may be brought only in an individual capacity, not as a plaintiff or class member in any class, collective, consolidated, or representative proceeding. YOU AND EACH COVERED PARTY WAIVE ANY RIGHT TO A JURY TRIAL. If the class waiver is found unenforceable as to any claim, that claim will proceed in the courts described in Section 23.6.
23.9 Mass filings. If 25 or more similar arbitration demands are filed by or with the help of the same counsel or coordinated group, they will be administered in batches of 25, and the administrator's mass arbitration rules will apply.
23.10 Time limit. Any claim must be filed within one (1) year after it arises, or it is permanently barred, to the extent permitted by law.
23.11 Opt-out. You may opt out of arbitration (but not of Sections 23.1 or 23.6) by mailing written notice to the address in Section 26 within thirty (30) days after first accepting these Terms, stating your name, account email, and that you reject arbitration.
24. General Provisions
24.1 Severability and reformation. If any provision of these Terms is held invalid or unenforceable, it will be enforced to the maximum extent permitted, and the court or arbitrator may modify it, including by reducing the Placement Fee, shortening the Restricted Period, or narrowing a release, to the minimum extent needed to make it enforceable. The remaining provisions stay in full force.
24.2 Third-party beneficiaries. Each Covered Party is an intended third-party beneficiary of Sections 6, 18 through 22, and 23, and may enforce them directly. There are no other third-party beneficiaries.
24.3 Entire agreement. These Terms, the Unity Global Care Terms of Use, and the Privacy Policy are the entire agreement between you and us about the Services.
24.4 Assignment. You may not assign these Terms. We may assign them, including in a merger, acquisition, financing, or sale of assets, without your consent.
24.5 No waiver; electronic acceptance. Our failure to enforce any provision is not a waiver. Your electronic acceptance has the same effect as a handwritten signature, and you consent to receive notices electronically.
24.6 Force majeure. We are not liable for any delay or failure caused by events beyond our reasonable control, including network, carrier, or device failures.
24.7 Residents of New Jersey and other states. Nothing in these Terms limits any right you have under a consumer protection law of your state of residence that cannot be waived by contract. If you are a New Jersey resident, the following provisions apply to you only to the extent permitted by New Jersey law: the interest and collection-cost terms in Section 8.4; the release of claims for negligence in Sections 6.5 and 19; the covenant not to sue in Section 20; the indemnity for claims by the Care Recipient or the Care Recipient's estate, heirs, or family in Section 21(a); the exclusions and cap in Section 22; the one-year time limit in Section 23.10; and the cost-sharing terms in Sections 23.5 and 23.6. Residents of other states whose laws limit similar provisions receive the same treatment under their state's law.
25. Changes to These Terms
We may revise these Terms by posting the updated version and changing the “Last Revised” date. For material changes, we will give reasonable advance notice by email or in the Services. Continued use after a change takes effect is acceptance. Changes to Section 23 will not apply to any dispute of which we had notice before the change.
26. Notice to California Users; Contact
Under California Civil Code Section 1789.3, California users may contact the Complaint Assistance Unit of the Division of Consumer Services of the California Department of Consumer Affairs in writing at 1625 North Market Blvd., Suite N 112, Sacramento, California 95834, or by telephone at (800) 952-5210.
